This Privacy Policy (“Policy”) describes how CO-Ver, LLC (“CO-Ver,” “we,” “us,” or “our”) collects, uses, shares, and protects personal information in connection with our websites, platform, software, mobile applications, and related services (collectively, the “Services”). This Policy also explains the choices you have regarding your personal information.

CO-Ver is a business-to-business (“B2B”) software-as-a-service company incorporated in the State of Florida. The Services comprise a change order verification and construction cost management solution designed for use by construction industry participants, including project owners, real estate developers, general contractors, subcontractors, architects, engineers, lenders, and their authorized representatives (collectively, “Users” or “Authorized Users”).

CO-Ver processes two general categories of information in connection with the Services:

  • Account Data: Information relating to the individuals and entities that register for or access the Services, including contact information, account credentials, and platform usage data; and
  • Client Data: Construction project information, change order data, cost data, contract information, supporting documentation, and other project-related content uploaded to or processed through the Services by Users.

Client Data is processed by CO-Ver primarily on behalf of and at the direction of the applicable customer or account Owner Administrator. The collection, use, and disclosure of Client Data is governed primarily by the Agreement (as defined below) and any applicable data processing addendum between CO-Ver and the relevant enterprise customer. Some individuals may access or use the Services as project participants even though they are not customers of CO-Ver and are not parties to an MSA or Order Schedule. For example, a general contractor, subcontractor, design professional, or lender may be invited or required by a customer to access a project through the Services. Such individuals are Users of the Services and must accept and comply with the applicable Terms and Conditions, but their use of the Services does not by itself make them a customer of CO-Ver or a party to the applicable MSA or Order Schedule.

For such project participants, CO-Ver processes Client Data in accordance with the instructions and permissions established by the applicable customer or Owner Administrator. Nothing in this Policy or the Terms and Conditions grants a project participant ownership of Client Data or makes that participant a party to the customer's MSA with CO-Ver.

This Privacy Policy primarily governs CO-Ver's processing of Account Data and CO-Ver's own use of information collected through the Platform and CO-Ver's website. This Policy does not apply to personal information CO-Ver collects about its own employees, contractors, or job applicants.

This Policy supplements and is incorporated by reference into our On-Line Subscription Agreement Terms and Conditions (the “Terms and Conditions”). The Terms and Conditions apply to all Users who access the Services. Where a User's organization has also executed a Master Services Agreement and one or more Order Schedules with CO-Ver, the Terms and Conditions, Master Services Agreement, and each Order Schedule are referred to collectively as the “Agreement”; for all other Users, “Agreement” means the Terms and Conditions. Capitalized terms used but not defined in this Policy have the meanings given to them in the Agreement. If this Policy conflicts with the Agreement as to Client Data, the Agreement controls. With respect to an individual's personal information, this Policy applies to the extent required by applicable privacy law.

By accessing or using the Services, you acknowledge that you have read and understood this Policy. Your use of the Services is also subject to the applicable Terms and Conditions and, where applicable, the Agreement with your organization.

1. Information We Collect

We collect the following categories of personal information:

1.1 Information You Provide to Us

  • Account and Registration Information. When you or your organization create an account or execute an order document, we collect information such as your name, email address, phone number, job title, company name, billing address, and payment information.
  • Client Data. As described in the Terms and Conditions, Client Data means all data, text, images, audio, video, photographs, and other content provided by you or Authorized Users that is stored in, or run on or through, the CO-Ver platform.
  • Submissions and Communications. When you contact us for support, provide feedback, submit suggestions, or otherwise communicate with us, we collect the content of those communications.
  • Payment Information. We collect billing and payment details necessary to process transactions. Payment card information is processed by our third-party payment processors and is not stored on our servers.
  • Construction Project and Platform Data. When you or your organization use the Services, we collect construction project information that you or your organization submit through the platform, including project names, locations, scope descriptions, contract amounts, change order details and supporting documentation, cost codes, and related project cost data. We also collect information regarding each Authorized User's role and permission level within a given project (e.g., Owner Administrator, General Contractor, Subcontractor, Design Professional, or Lender), and, for users accessing ACH payment features, bank account information as required to process transactions.

1.2 Information We Collect Automatically

When you access or use the Services or visit CO-Ver’s website, we and our service providers may automatically collect technical and usage information, including:

  • Usage and Log Data: IP address, browser type and version, operating system, device identifiers, hardware configuration, network information, server logs, access timestamps, pages visited, features used, clickstream data, access times, and referring URLs.
  • Platform Interaction Data: Change order submission timestamps, review and approval actions taken within the Services, comment and annotation activity, verification results accessed, document upload and download events, integration sync events, and other records of your interactions with Services features and workflows.
  • Feature Usage Patterns: Data about which Services features and modules you use, how frequently, and in what sequence, used to understand usage trends, prioritize product improvements, and improve user experience.
  • Cookies and Similar Technologies: Information collected through cookies, web beacons, pixels, and similar tracking technologies, as described in Section 7 of this Privacy Policy.

1.3 Information from Third Parties

We may receive information about you from third-party sources, including:

  • Project Management Platform Integrations: When you or your organization connect the CO-Ver Services with third-party project management platforms, such as Procore or Autodesk Construction Cloud, we receive project data, user information, cost data, and other data from those platforms as necessary to provide the requested integration features. The data received through such integrations is subject to the applicable integration terms and the privacy policies of the relevant third-party platforms.
  • Website Visitor Identification: We use Snitcher, a website visitor identification service, to identify the organizational affiliation of visitors to our website. Snitcher identifies the company or organization associated with a website visit based on IP address and other signals; it operates at the organizational level and does not identify individual visitors. See Section 7.3 for further detail.
  • Business Partners and Referral Sources: Information from business partners, technology integration partners, resellers, or referral sources who refer you to CO-Ver or co-market the Services with us.
  • Publicly Available Sources: Information from publicly available sources, including business directories, professional networks (such as LinkedIn), state contractor license databases, and public records, used to supplement account information and support sales and marketing functions.

2. How We Use Your Information

We use the information we collect for the following purposes:

  • Providing and Operating the Services. To deliver, maintain, and improve the Services, process transactions, authenticate users, and provide customer support.
  • Security and Fraud Prevention. To protect the security and integrity of the Services, detect and prevent fraud, unauthorized access, and other illegal activities, and to enforce the Agreement.
  • Communications. To send you service-related notices, account updates, billing information, security alerts, and other administrative communications. With your consent where required by law, we may also send you marketing and promotional communications.
  • Analytics and Improvement. To analyze usage trends, measure the effectiveness of features, conduct research and development, and improve the Services.
  • Collected Data and Aggregated Information. To use Collected Data in de-identified, aggregated, and anonymized form for commercial purposes, including creating statistical analyses, reports, and benchmarking data, as described in the Terms and Conditions.
  • AI Functionality. To process data through AI Functionality as described in Section 17 of the Terms and Conditions, including enabling AI features, improving the accuracy and performance of the System (using only aggregated, de-identified, or anonymized data for improvement purposes), and ensuring security and compliance.
  • Legal Compliance. To comply with applicable laws, regulations, legal processes, and governmental requests.
  • Construction Industry Analytics and Benchmarking. To use de-identified, aggregated Client Data and platform usage information to develop construction industry benchmarking data, cost verification models, and analytics products, including aggregated cost and pricing data by project type, geography, or market segment. Such analytics will not identify any individual user or customer.
  • Performance Ratings. To develop performance scores or ratings for construction industry participants (such as general contractors and subcontractors) based on aggregated, de-identified data derived from verified change order history across the platform. Any such ratings will be based on objectively verifiable data. Ratings may identify the construction firm or organization to which they relate, except that CO-Ver will not publish a rating naming a sole proprietorship or other firm whose name identifies a natural person, but will not identify any individual Authorized User and will not be attributable to any specific project or to the individual customer whose Client Data contributed to the rating.

3. How We Share Your Information

CO-Ver does not use identifiable Client Data from one customer to provide Services to, or disclose such Client Data to, another customer. CO-Ver may use aggregated, de-identified, or anonymized information derived from Client Data across customers for the purposes described in this Policy and the applicable Agreement.

We do not sell your personal information. We may "share" personal information for cross-context behavioral advertising through marketing and advertising cookies as described in Section 7.2, and you may opt out as described in Section 7.4. We may also share your information in the following circumstances:

3.1 Service Providers

We disclose information with third-party service providers and vendors who perform services on our behalf in connection with the operation of the Services and our business. These service providers include:

  • Stripe: Payment processing, including credit card and ACH transactions. Stripe's privacy practices are described at https://stripe.com/privacy.
  • SendGrid: Transactional and operational email communications.
  • HubSpot: Customer relationship management (CRM) and marketing automation, including tracking interactions with CO-Ver's website and marketing content.
  • Procore / Autodesk Construction Cloud: Project management platform integrations, when connected by the User or account Owner Administrator, to facilitate the exchange of project data between the Services and those systems.
  • Snitcher: Organizational-level website visitor identification and related analytics.
  • Amazon Web Services (AWS) or similar cloud infrastructure providers: Cloud hosting, data storage, content delivery, and computing infrastructure.
  • Artificial Intelligence and Machine Learning Providers: Third-party providers used to support specific AI or automated functionality within the Services.
  • Additional service providers: Security and monitoring services, identity verification services, analytics platforms, and other vendors engaged to support Services operations. CO-Ver requires service providers that process Client Data on its behalf to maintain appropriate confidentiality and security protections and to process such information only as necessary to provide services to CO-Ver, except as otherwise authorized by the applicable Agreement or required by law.

3.2 Project Participants

At the direction of the Owner Administrator for a given project, we share relevant Client Data with other Authorized Users on that project — including General Contractor users, Subcontractor users, Design Professional users, and Lender users — based on the access permissions configured by the Owner Administrator. Each such participant's access to and use of Client Data is governed by the Agreement. A project participant's access to Client Data does not make that participant a CO-Ver customer or grant that participant ownership of Client Data.

3.3 Construction Industry Data Products

CO-Ver may share de-identified, aggregated analytics and benchmarking data with third parties as part of our data products and services, including publishing such data in industry reports, research publications, conference presentations, or as a licensed data product sold to third parties. All data shared as part of a data product will be aggregated and de-identified. CO-Ver takes reasonable measures to ensure such data cannot be associated with an individual, household, or identifiable customer; publicly commits to maintain and use such data only in de-identified form and not to attempt to re-identify it, except as permitted by law to test de-identification measures; and contractually obligates recipients of such data to comply with the same restrictions. CO-Ver will not disclose Client Data in a form that identifies, or that CO-Ver reasonably believes could be used to identify, a specific customer, individual, project, or other identifiable person.

3.4 Business Transfers

If CO-Ver undergoes a merger, acquisition, reorganization, bankruptcy, sale of all or substantially all of its assets, or a similar corporate transaction, information about Users may be transferred to the acquiring or successor entity as part of that transaction. We will notify Users of any such change via email or prominent notice on the Services as required by applicable law, and information transferred will remain subject to this Policy until the successor entity provides notice of a materially different privacy policy and obtains any consent required by applicable law.

3.5 Legal Requirements and Protection of Rights

We may disclose your information if required to do so by applicable law, regulation, legal process, or binding governmental request, or if CO-Ver believes in good faith that such disclosure is reasonably necessary to: (a) comply with a legal obligation; (b) protect and defend the rights or property of CO-Ver; (c) prevent or investigate possible wrongdoing in connection with the Services; (d) protect the personal safety of Users of the Services or the public; or (e) protect against legal liability.

3.6 With Your Consent

We may share your information with third parties in other circumstances when you have provided express consent to such sharing, or at your direction.

4. Data Retention

CO-Ver retains personal information for as long as necessary to provide the Services, fulfill the purposes described in this Privacy Policy, and comply with our legal obligations. Our general retention practices are as follows:

  • Account Data: Retained for the duration of your account and for a period of up to seven (7) years following account termination, expiration, or deactivation, unless a shorter or longer retention period is required by applicable law.
  • Client Data: Retained in accordance with the applicable Agreement, generally for the duration of the subscription term and for up to ninety (90) days following termination of the subscription, after which it is purged from production systems, unless a longer retention period is agreed upon in writing or required by applicable law.
  • Following deletion from production systems, Client Data may remain in encrypted backup or disaster recovery systems until those systems are overwritten in accordance with CO-Ver's backup retention procedures. Backup copies will not be restored or used except as necessary for disaster recovery, business continuity, legal compliance, or other legitimate operational purposes.
  • Payment Records: Transaction records, including payment amounts and dates, are retained as required by applicable tax, accounting, and financial record-keeping laws, generally for a period of seven (7) years.
  • Analytics and Aggregated Data: De-identified, aggregated analytics derived from Client Data may be retained indefinitely, as such data no longer constitutes personal information.
  • Legal Hold: Notwithstanding the foregoing retention periods, we may retain certain information for longer periods when required by applicable law, regulation, or legal process, or in connection with a pending legal matter or investigation.

You may request deletion of your Account Data as described in Section 6. We will honor deletion requests to the extent required by applicable law, subject to our legitimate business interests in retaining certain records and our legal retention obligations.

5. Data Security, AI Processing, and International Transfers

We implement and maintain commercially reasonable administrative, technical, and physical safeguards designed to protect personal information from unauthorized access, use, alteration, disclosure, and destruction. These measures include encryption of data in transit and at rest, access controls, regular security assessments, and employee training.

However, no method of transmission over the Internet or method of electronic storage is completely secure. While we strive to protect your personal information, we cannot guarantee its absolute security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, as described in the Terms and Conditions. In the event of a data breach affecting your personal information, we will notify affected Users in accordance with applicable law and our internal incident response procedures. For enterprise customers, CO-Ver will notify the Owner Administrator of the affected account without undue delay after confirming a breach that affects Client Data, consistent with the applicable Agreement or data processing addendum.

5.1 Client Data

Except as expressly provided in the applicable Agreement, the customer or other applicable data owner retains all rights, title, and interest in Client Data.

CO-Ver processes Client Data as necessary to provide, secure, maintain, support, and improve the Services and as otherwise permitted by the applicable Agreement.

A project participant who accesses the Services at the direction of a customer does not acquire ownership of Client Data by submitting, accessing, reviewing, or otherwise using such data.

5.2 Artificial Intelligence and Automated Processing

CO-Ver's platform uses artificial intelligence and automated processing to perform change order verification services, including comparison of change order pricing against contract rates, cost databases, and market benchmarks. This section describes how AI-related data practices work.

  • AI Processing of Client Data. We process Client Data (including change order documentation and project cost data) through AI and automated verification algorithms to generate verification analyses, pricing assessments, and related outputs. AI outputs are provided for informational purposes only and do not constitute professional advice from licensed architects, engineers, cost estimators, quantity surveyors, construction managers, or other professionals.
  • Model Training and Improvement. We use de-identified, aggregated data — data that cannot reasonably be used to identify any individual or customer — to train, test, and improve our AI models and verification algorithms. We do not use individually identifiable personal information or identifiable Client Data to train AI models without your separate, prior consent. We also do not permit third-party providers that process Client Data on our behalf for AI functionality to use identifiable Client Data to train, retrain, fine-tune, or improve their general-purpose AI models, except where expressly authorized by the applicable Agreement.
  • No Solely Automated Decisions. Our AI outputs are intended to inform, not replace, human judgment. CO-Ver does not make decisions that produce legal or similarly significant effects based solely on automated processing without human review.
  • AI Outputs and CO-Ver Technology. Customers retain rights in their Client Data. CO-Ver retains all rights in and to its Services, software, artificial intelligence models, algorithms, methodologies, workflows, databases, verification methodologies, and improvements thereto, subject to any rights expressly granted to customers under the applicable Agreement. A customer may use outputs generated through the Services for its internal business purposes, subject to the applicable Agreement.

5.3 International Data Transfers

CO-Ver is headquartered in the United States. If you or your organization access the Services from outside the United States, your information may be transferred to, stored, and processed in the United States or other countries where our service providers operate. Data protection laws in these countries may differ from those in your country of residence. The Services are intended for use by businesses located in the United States. CO-Ver does not currently offer the Services in the European Economic Area, the United Kingdom, or Switzerland, and does not target or monitor the behavior of individuals located in those jurisdictions.

Where required by applicable law, CO-Ver relies on lawful transfer mechanisms for international transfers of personal information. Enterprise customers who require a data processing addendum may request one by contacting privacy@CO-Ver.com.

We process Account Data to perform our contract with your organization, to operate and secure the Services, with your consent where required, and to comply with legal obligations. To the extent applicable law affords you rights of access, correction, deletion, portability, objection, or restriction, or a right to withdraw consent, you may exercise those rights as described in Section 6 by contacting privacy@CO-Ver.com.

6. Your Rights and Choices

Depending on your jurisdiction, you may have the following rights with respect to your personal information:

  • Access and Portability. You may request a copy of the personal information we hold about you in a commonly used, machine-readable format.
  • Correction. You may request that we correct inaccurate or incomplete personal information.
  • Deletion. You may request that we delete your personal information, subject to certain legal exceptions.
  • Opt-Out of Marketing. You may opt out of receiving marketing communications from us by following the unsubscribe instructions in those messages or by contacting us directly. Even if you opt out of marketing, we will continue to send you service-related communications.
  • Do Not Sell or Share. We do not sell your personal information. If applicable law provides you with the right to opt out of the “sale” or “sharing” of personal information, or of targeted advertising (as those terms may be defined under applicable law), you may exercise that right by contacting us or by using our cookie preference tool.
  • Right to Object to Performance Scoring. If you believe that a performance score or rating published by CO-Ver about your organization is inaccurate or is based on incorrect underlying data, you may contact us at privacy@CO-Ver.com to request a review. We will investigate and, if the underlying data is found to be erroneous, correct or remove the affected rating.

To exercise any of these rights, please contact us using the information provided in Section 11 below. We will respond to your request in accordance with applicable law. We may need to verify your identity before processing your request.

7. Cookies and Tracking Technologies

CO-Ver and our third-party service providers use cookies, web beacons, pixels, and similar tracking technologies on the CO-Ver website and Services. This section describes our use of these technologies and your choices.

7.1 What Are Cookies

Cookies are small text files placed on your device by a website or application. They are widely used to make websites work, improve user experience, and provide reporting information. Cookies may be "session cookies" (which expire when you close your browser) or "persistent cookies" (which remain on your device for a set period or until deleted).

7.2 Types of Cookies We Use

  • Strictly Necessary Cookies: These cookies are required for the operation of the Services, including authentication, session management, load balancing, and security functions. These cookies cannot be disabled, as the Services cannot function properly without them.
  • Functional Cookies: These cookies enable enhanced functionality and personalization, such as remembering your account preferences, language settings, and display choices.
  • Analytics Cookies: These cookies collect information about how visitors interact with our website and Services, including which pages are visited, how long visitors spend on each page, and whether error messages are received. This information is used to improve website and Services performance.
  • Marketing and Advertising Cookies: These cookies track visitors across websites and are used to serve relevant advertising and marketing content. They may be set by CO-Ver or our third-party marketing partners. Because this activity may constitute “sharing” for cross-context behavioral advertising under certain state privacy laws, you may opt out as described in Section 7.4.

7.3 Third-Party Tracking Technologies

CO-Ver uses the following third-party tracking and analytics services on our website and/or Services:

  • HubSpot: We use HubSpot for CRM and marketing automation. HubSpot's tracking technologies allow us to identify organizational visitors to our website, track interactions with marketing content and emails, and measure the effectiveness of our marketing campaigns. HubSpot's privacy practices are described in HubSpot's Privacy Policy, available at https://legal.hubspot.com/privacy-policy.
  • Snitcher: We use Snitcher for organizational-level website visitor identification. Snitcher identifies the company or organization associated with a website visit based on IP address resolution and other signals. Snitcher operates at the organizational level and is not used to identify specific individual visitors. Because this process relies on IP addresses, which may constitute personal information under certain state privacy laws, you may opt out of Snitcher analytics through our cookie preference tool. Snitcher's privacy practices are described in Snitcher's privacy policy.
  • Google Analytics (or similar platforms): We may use Google Analytics or similar web analytics platforms to analyze aggregate website traffic and usage patterns. These services may use cookies and similar technologies to collect information about your use of our website. You may opt out of Google Analytics data collection by installing the Google Analytics Opt-out Browser Add-on, available at https://tools.google.com/dlpage/gaoptout.

7.4 Cookie Preferences and Consent Management

Where required by applicable law, we obtain your consent before setting non-essential cookies and provide a cookie preference tool allowing you to accept or reject each category described above, and we honor opt-out preference signals, including the Global Privacy Control (GPC). In all jurisdictions, you may also control cookies through your browser settings; most browsers allow you to refuse or delete cookies. Please note that disabling certain cookies may impair the functionality of the Services. For more information about how to control cookies in your browser, please consult your browser's help documentation.

8. Third-Party Links and Services

The Services may contain links to third-party websites, services, or applications that are not operated by CO-Ver, including Third-Party Resources. This Policy does not apply to those third-party services. We encourage you to review the privacy policies of any third-party services before providing them with your personal information. CO-Ver is not responsible for the privacy practices or content of any third-party services.

9. Children’s Privacy

The Services are not intended for individuals under the age of eighteen (18). We do not knowingly collect personal information from children under 18. If we become aware that we have collected personal information from a child under 18, we will take steps to promptly delete that information. If you believe that a child under 18 has provided us with personal information, please contact us using the information in Section 11.

10. Changes to This Policy

We may update this Policy from time to time to reflect changes in our practices, the Services, or applicable law. When we make material changes, we will notify you by posting the updated Policy on our website with a revised “Last Updated” date and, where required, by providing additional notice (such as by email or in-product notification). Where we make material changes, we will provide notice at least ten (10) days before those changes take effect. Your continued use of the Services after the effective date of the updated Policy constitutes your acceptance of the changes, except where applicable law requires your affirmative consent. We encourage you to review this Policy periodically.

12. Additional State-Specific Disclosures

Certain state privacy laws, including the California Consumer Privacy Act (as amended by the California Privacy Rights Act) and comprehensive privacy laws in states such as Virginia, Colorado, Connecticut, Florida, Texas, Oregon, Montana, Delaware, Iowa, Indiana, Tennessee, and Minnesota, may provide residents of those states with additional rights regarding their personal information. If you are a resident of a state with an applicable privacy law, the following additional disclosures apply to you:

  • Categories of Personal Information Collected. We collect the categories of personal information described in Section 1 of this Policy, which may include identifiers, commercial information, internet or electronic network activity information, professional or employment-related information, financial account information, and inferences drawn from the foregoing. Financial account information collected in connection with ACH payment features may constitute "sensitive personal information" under certain state privacy laws. We collect and use sensitive personal information only as necessary to provide and secure the Services, process transactions, prevent fraud, and comply with law, and we do not use or disclose it to infer characteristics about you.
  • Purposes for Collection. We collect and use personal information for the business and commercial purposes described in Section 2 of this Policy.
  • Categories of Third Parties. We disclose personal information to the categories of third parties described in Section 3 of this Policy.
  • No Sale of Personal Information. We do not sell personal information as defined under applicable state privacy laws. We do, however, use marketing and advertising cookies that may constitute "sharing" for cross-context behavioral advertising under certain state privacy laws. You may opt out of such sharing using our cookie preference tool, by following the "Do Not Sell or Share My Personal Information" link on our website, or by enabling an opt-out preference signal such as the Global Privacy Control.
  • Right to Non-Discrimination. We will not discriminate against you for exercising any of your privacy rights.
  • Right to Appeal. If we decline to act on your privacy request, you may appeal by emailing privacy@CO-Ver.com with “Privacy Appeal” in the subject line. We will respond within the period required by applicable law and, if we deny the appeal, will tell you how to contact your state attorney general.
  • Authorized Agents. You may designate an authorized agent to make a privacy request on your behalf. We may require verification of the agent’s authority before processing the request.
  • Right to Limit Use of Sensitive Personal Information (California). California residents have the right to limit CO-Ver’s use and disclosure of sensitive personal information to uses necessary to provide the Services. To exercise this right, please contact us at privacy@CO-Ver.com.
  • Right to Opt Out of Profiling (Multiple States). Residents of California, Colorado, Connecticut, Virginia, and certain other states have the right to opt out of the processing of their personal information for purposes of profiling that produces legal or similarly significant effects. CO-Ver does not engage in profiling for such purposes.   • B2B Exemptions. Please note that CO-Ver is a business-to-business service provider. Certain state privacy laws provide exemptions for personal information collected in a B2B context (such as information about employees, contractors, or representatives of business clients collected solely in that capacity). To the extent such exemptions apply under the laws of your state, individual data subject rights may be limited. If you are an Authorized User accessing CO-Ver through your employer’s or organization’s account, please direct privacy requests to your organization’s account Owner Administrator in the first instance.
